Allgemeine Gesch\u00e4ftsbedingungen (AGB) ORRIX Web Management<\/strong><\/h3>

Stand: 17.07.2024<\/p>

1. Geltungsbereich<\/strong><\/p>

Diese Allgemeinen Gesch\u00e4ftsbedingungen (AGB) regeln die Nutzung der Dienstleistungen von ORRIX Web Management (im Folgenden \u201cORRIX\u201d genannt), mit Sitz in 8105 Rgensdorf Pumpwerkstrasse 33, Schweiz, sowie die Vertragsbeziehung zwischen ORRIX und seinen Kunden (im Folgenden \u201cKunde\u201d genannt).<\/p>

Die AGB gelten f\u00fcr alle Leistungen von ORRIX<\/p>

2. Vertragsabschluss<\/strong><\/p>

Der Vertrag kommt durch die Annahme des Angebots von ORRIX durch den Kunden zustande. Die Annahme kann schriftlich, per E-Mail oder durch die Inanspruchnahme der Dienstleistung erfolgen.<\/p>

3. Leistungen<\/strong><\/p>

ORRIX erbringt die vertraglich vereinbarten Leistungen nach den jeweils aktuellen technischen Standards und unter Ber\u00fccksichtigung der Vorgaben des Kunden. ORRIX ist berechtigt, die Leistungen im Rahmen des Zumutbaren zu \u00e4ndern, sofern dies technisch notwendig oder zum Vorteil des Kunden ist.<\/p>

4. Preise und Zahlungsbedingungen<\/strong><\/p>

Die Preise f\u00fcr die Leistungen von ORRIX sind in den jeweiligen Angeboten oder auf der Website von ORRIX aufgef\u00fchrt.<\/p>

Die Rechnungen von ORRIX sind innerhalb von 10 Tagen nach Rechnungsstellung ohne Abzug zu begleichen.<\/p>

5. Pflichten des Kunden<\/strong><\/p>

Der Kunde ist verpflichtet:<\/p>

Die ihm zur Verf\u00fcgung gestellten Zugangsdaten vertraulich zu behandeln.
Die Dienstleistungen von ORRIX nur f\u00fcr legale Zwecke zu nutzen.
Die Inhalte, die er auf den Servern von ORRIX hostet, rechtm\u00e4ssig und nicht gegen geltendes Recht verstossend zu sein.
ORRIX \u00fcber alle \u00c4nderungen seiner Kontaktdaten umgehend zu informieren.<\/p>

6. Haftung<\/strong><\/p>

ORRIX haftet nur f\u00fcr Sch\u00e4den, die durch eine schuldhafte Verletzung der Vertragspflichten von ORRIX entstehen, im Rahmen des gesetzlichen Rahmens.<\/p>

ORRIX haftet nicht f\u00fcr Sch\u00e4den, die durch h\u00f6here Gewalt, Hardware Fehler, Streik, Aussperrung oder andere unvorhersehbare Ereignisse verursacht werden.<\/p>

7. Datenschutz<\/strong><\/p>

ORRIX verarbeitet die personenbezogenen Daten der Kunden nur im Rahmen der gesetzlichen Bestimmungen und der geltenden Datenschutzbestimmungen.<\/p>

8. Vertragsdauer und K\u00fcndigung<\/strong><\/p>

Die Vertragslaufzeit ist individuell und verl\u00e4ngert sich jeweils um immer einen Monat, falls nicht auf den letzten Tag des Monats vor Ablauf der Laufzeit schriftlich gek\u00fcndigt wird. Bei Zahlungsausfall beh\u00e4lt sich ORRIX vor den Vertrag und alle dazugeh\u00f6rigen Dienste zu Sperren und nach einer Ablaufzeit von 10 Tagen das Recht alle Dienste zu l\u00f6schen. Bei Neukunden und laufende Projekte sowie Projekte im Aufbau sind jegliche Rechnungen zu begleichen mit Zahlungsfrist die auf der Rechnung ersichtlich ist, bei nicht bezahlten Rechnungen des Kunden beh\u00e4lt sich ORRIX vor das Projekt und alle von Kunden Diensten zusammenh\u00e4ngenden Dienstleistungen zu pausieren, zu sperren oder dem Kunden das komplette Packet als Backup zur Verf\u00fcgung zu stellen f\u00fcr einen Wegzug von ORRIX innerhalb 15 Tagen.\u00a0<\/p>

9. Schlussbestimmungen<\/strong><\/p>

Sollten einzelne Bestimmungen dieser AGB unwirksam sein oder werden, so wird die Wirksamkeit der \u00fcbrigen Bestimmungen hiervon nicht ber\u00fchrt. Anstelle der unwirksamen Bestimmung tritt eine solche wirksame Bestimmung, die dem wirtschaftlichen Zweck der unwirksamen Bestimmung m\u00f6glichst nahe kommt.<\/p>

General Terms and Conditions (GTC) ORRIX Web Management<\/p>

1. Scope<\/strong><\/p>

These General Terms and Conditions (GTC) govern the use of the services provided by ORRIX Web Management (hereinafter referred to as „ORRIX“), located at 8105 Rgensdorf Pumpwerkstrasse 33, Switzerland, as well as the contractual relationship between ORRIX and its customers (hereinafter referred to as „Customer“).<\/p>

The GTC apply to all services provided by ORRIX.<\/p>

2. Conclusion of Contract<\/strong><\/p>

The contract is concluded by the Customer’s acceptance of ORRIX’s offer. Acceptance can be made in writing, by email, or by utilizing the service.<\/p>

3. Services<\/strong><\/p>

ORRIX provides the contractually agreed services according to the current technical standards and considering the Customer’s specifications. ORRIX is entitled to make changes to the services within reasonable limits if this is technically necessary or to the Customer’s advantage.<\/p>

4. Prices and Payment Terms<\/strong><\/p>

The prices for ORRIX’s services are listed in the respective offers or on ORRIX’s website.<\/p>

Invoices from ORRIX are to be paid within 10 days of the deductions.<\/p>

5. Customer Obligations<\/strong><\/p>

The Customer is obliged to:<\/p>

– Treat the access data provided to them confidentially.
– Use ORRIX’s services only for legal purposes.
– Ensure that the content they host on ORRIX’s servers is lawful and does not violate applicable laws.
– Inform ORRIX immediately of any changes to their contact details.<\/p>

6. Liability<\/strong><\/p>

ORRIX is only liable for damages caused by a culpable breach of ORRIX’s contractual obligations, within the legal framework.<\/p>

ORRIX is not liable for damages caused by force majeure, hardware failures, strikes, lockouts, or other unforeseeable events.<\/p>

7. Data Protection<\/strong><\/p>

ORRIX processes the personal data of customers only within the framework of legal provisions and applicable data protection regulations.<\/p>

8. Contract Duration and Termination<\/strong><\/p>

The contract duration is individual and is automatically extended by one month unless terminated in writing on the last day of the month before the end of the term. In the event of payment default, ORRIX reserves the right to suspend the contract and all associated services and, after a period of 10 days, to delete all services.For new customers and ongoing projects as well as projects under development, all invoices must be paid within the payment period shown on the invoice. If the customer does not pay invoices, ORRIX reserves the right to pause or block the project and all services related to the customer’s services, or to provide the customer with the entire package as a backup in case ORRIX moves away within 15 days.<\/p>

9. Final Provisions<\/strong><\/p>

Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall not be affected. In place of the invalid provision, a valid provision that comes as close as possible to the economic purpose of the invalid provision shall apply.<\/p>
